Terms & Conditions of Use — MEDIOLAS FZCO

These Terms and Conditions (“Terms”) govern the use of the website of MEDIOLAS FZCO (“we”, “us”, “our”) and regulate the contractual relationship with clients who request and purchase our services. By accessing our website or entering into a contractual agreement with us, you agree to be bound by these Terms.

1. Definitions

  • Client / Customer: Any individual or company contracting or intending to contract with MEDIOLAS FZCO.

2. Scope of Services

MEDIOLAS FZCO provides services as described on our website or in our official communications.
Specific services, pricing, responsibilities, and timelines will always be set out in a formal written contract agreed upon with the Client.

No service will be provided without a signed agreement.

3. Contract Formation

A binding contract between MEDIOLAS FZCO and the Client is formed only when:

  1. MEDIOLAS FZCO issues an official proposal, quotation, or agreement, and

  2. The Client accepts and signs the contract, and

  3. The required payment (or deposit, where applicable) is received by MEDIOLAS FZCO via bank transfer.

Until all three conditions are met, no obligation is created for MEDIOLAS FZCO to provide any service.

4. Prices and Payment Terms

4.1. Pricing

All prices for services will be clearly stated in the individual contract or proposal.

Pricing excludes any taxes, bank fees, or additional costs unless explicitly stated.

4.2. Payment Method

Payments must be made exclusively by bank transfer.
No other payment methods (credit card, PayPal, cash, etc.) are accepted.

The Client is responsible for all bank charges related to the payment.

4.3. Payment Schedule

Payment terms will be specified in the signed contract and may include:

  • Full upfront payment, or

  • A deposit followed by balance payments

The service will not begin until the initial payment or deposit is received.

4.4. Failure to Pay

If the Client fails to pay within the agreed time:

  • MEDIOLAS FZCO may suspend services immediately

  • The Client may be charged additional fees where applicable

  • MEDIOLAS FZCO may terminate the agreement for breach of contract

5. Delivery of Services

Service delivery timelines will be clearly defined in the written agreement.
MEDIOLAS FZCO commits to providing services:

  • With professional diligence

  • Within the agreed schedule

  • Subject to factors outside our control (technical issues, third-party delays, etc.)

Any modifications to the scope or delivery must be accepted in writing by both parties.

6. Client Obligations

The Client must:

  • Provide accurate information needed to deliver the service

  • Sign any required agreement

  • Make timely payments via bank transfer

  • Cooperate with MEDIOLAS FZCO as necessary for successful service delivery

Failure to fulfill these obligations may result in delays or suspension of services.

7. Intellectual Property

Unless otherwise stated in the contract:

  • All materials, content, and deliverables remain the property of MEDIOLAS FZCO until full payment is received.

  • Unauthorized use, reproduction, or distribution of our content is prohibited.

8. Limitation of Liability

MEDIOLAS FZCO is not liable for:

  • Indirect, incidental, or consequential damages

  • Losses due to misuse of the service

  • Delays caused by third parties, force majeure, or incorrect information provided by the Client

Our maximum liability is limited to the amount paid by the Client for the specific service concerned.

9. Warranties

MEDIOLAS FZCO provides services professionally and in line with industry standards.
No additional warranties are provided unless explicitly stated in the signed contract.

10. Termination

Either party may terminate the agreement:

  • For material breach (including non-payment)

  • By mutual written agreement

  • As outlined in the specific contract terms

Upon termination, the Client must pay for all services rendered up to the date of termination.

11. Governing Law & Jurisdiction

These Terms and all agreements with MEDIOLAS FZCO are governed by the laws applicable in:

Dubai Silicon Oasis — United Arab Emirates

Any dispute shall be resolved through:

  1. Good-faith negotiation, and if unresolved

  2. Mediation, and if still unresolved

  3. The competent courts of Dubai, UAE

12. Amendments

MEDIOLAS FZCO may update these Terms from time to time.
The latest version will always be published on our website.
